In a statement, Softbank said \u201csignificant regulatory challenges\u201d prevented the acquisition. The Japanese conglomerate also mentioned that it\u2019s planning to take ARM public by March 31, 2023.&nbsp;<\/em><\/p>\n<p><em>Softbank will receive $1.25 billion as agreed upon with Nvidia during the announcement of the deal. Geoff Blaber, CEO of CCS Insights said an IPO is the best option for ARM:&nbsp;<\/em><\/p>\n<blockquote readability=\"8\">\n<p><em>Finding a way to appease regulators whilst maintaining the value and justifying the $40 billion price tag has proven overwhelmingly challenging. It has also been disruptive to Arm and its ecosystem. An IPO is a far better option for the Arm ecosystem but is unlikely to provide Softbank a comparable return.<\/em><\/p>\n<\/blockquote>\n<p><span>The US Federal Trade Commission (FTC) has filed a lawsuit against graphics card giant Nvidia to block its deal to purchase ARM. Before we take a look at why FTC\u2018s doing it, a quick recap of what has happened till now.<\/span><\/p>\n<h2>Nvidia\u2019s bid for ARM<\/h2>\n<p>Last September, <a href=\"https:\/\/thenextweb.com\/topic\/nvidia\" target=\"_blank\" rel=\"noopener noreferrer\">Nvidia<\/a> announced <a href=\"https:\/\/thenextweb.com\/news\/nvidia-confirms-its-buying-arm-for-40b-to-expand-its-ai-efforts\" target=\"_blank\" rel=\"noopener noreferrer\">it\u2019s planning to buy the chip design firm&nbsp;for $40 billion<\/a>. The US-based company said at that time, the purchase ties into its plans of bolstering its AI efforts. As ARM\u2019s shares have risen since that, the UK-based <span>company might be worth a whopping&nbsp;<\/span><i data-stringify-type=\"italic\">$80 billion<\/i><span>&nbsp;now.<\/span><\/p>\n<p>Before this deal was announced, ARM\u2019s then-owner, Softbank, was considering an Initial Public Offering (IPO) for the company with a speculated valuation of $40 billion. The Japanese conglomerate <a href=\"https:\/\/www.cnbc.com\/2016\/07\/17\/softbank-poised-to-take-uks-arm-for-234-billion.html\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">bought ARM for $32 billion<\/a>.<\/p>\n<h2>Investigations and industry impact<\/h2>\n<p>Nvidia\u2019s transaction was slotted to be completed in 18 months, but because of several ongoing investigations and regulatory roadblocks, the deal hangs in the balance.<\/p>\n<p>In October, the European Commission <a href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/en\/ip_21_5624\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">opened up an investigation<\/a> as it was concerned that the deal \u201c<span>could lead to higher prices, less choice and reduced innovation in the semiconductor industry.\u201d<\/span><\/p>\n<p>In a statement, Executive Vice-President Margrethe Vestager, said:<\/p>\n<blockquote readability=\"12\">\n<p>Whilst Arm and NVIDIA do not directly compete, Arm\u2019s IP is an important input in products competing with those of NVIDIA, for example in datacentres, automotive and in the Internet of Things. ARM\u2019s design for chips is used by multiple tech companies \u2014 including Apple, Google, Samsung, and Qualcomm. And while Nvidia\u2019s assured them of not stifling the innovation, there might be a lot of concerns coming from these firms.<\/p>\n<h2>What is the FTC doing?<\/h2>\n<p>The FTC had first opened up a probe into the deal <a href=\"https:\/\/www.reuters.com\/article\/us-arm-holdings-m-a-nvidia\/u-s-ftc-opens-probe-into-nvidias-acquisition-of-arm-bloomberg-idUSKBN2AC298\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">back in February<\/a>. FTC\u2018s Bureau of Competition Director, Holly Vedova, said in a statement that this lawsuit is to keep the innovation in the chip industry going:<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<blockquote readability=\"6\">\n<p><span>The FTC is suing to block the largest semiconductor chip merger in history to prevent a chip conglomerate from stifling the innovation pipeline for next-generation technologies.<\/span><\/p>\n<\/blockquote>\n<h2>Nvidia\u2019s response and the road ahead<\/h2>\n<p>In response to FTC\u2018s move, Nvidia said, \u201cAs we move into this next step in the FTC process, we will continue to work to demonstrate that this transaction will benefit the industry and promote competition.\u201d<\/p>\n<p>This is similar to what the company had said to <a href=\"https:\/\/www.reuters.com\/technology\/nvidia-seeks-eu-approval-arm-deal-eu-decision-due-oct-13-2021-09-08\/\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">EU and the UK regulators<\/a>. But until now, they haven\u2019t been satisfied with what the chip giant had to say in its defense.<\/p>\n<p>ARM-based CPUs have been all the rage this year, including Google\u2019s Tensor and Apple\u2019s M1X chips. They\u2019ll play a huge role in upcoming laptops, desktops, and mobile devices, so it\u2019s scary to think of one company having control over it. All eyes will be on the administrative trial scheduled for May 10 next year.
